Financing Round

The Standard Agreement Financing Round Version 2.0 and 2.1 consists of eleven parts:

  • the introductory notes on use, which should definitely be read in advance to ensure comprehension
  • a sample power of attorney,
  • a participation and shareholder agreement (designed in such a way that it does not need to be notarised),
  • as an appendix to this, the model of a spouse's declaration of consent pursuant to 1365 BGB,
  • rules of procedure for the management,
  • rules of procedure for the advisory board (optional),
  • resolution on the issuance of authorized capital,
  • the notarial minutes of the extraordinary partners' meeting at which the resolutions on amending or amending the articles of association and on the capital increase are adopted,
  • minutes of a shareholders meeting,
  • a (revised) memorandum and articles of association (partnership agreement) - subject to notarisation,
  • a takeover declaration for the newly issued shares.
